Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Orbee mobile application, any website operated by Orbee that links to these Terms, and any related services made available through them (collectively, the "Service").

In these Terms, "Orbee," "we," "us," and "our" refer to the provider of the Service identified in the Contact Details section below.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1Service

Orbee is a mobile application for creating, sharing, and viewing short-form video posts called "Orbs." Users can record and upload Orbs, make them available to other users within the Service, and view Orbs uploaded by others. Orbs are intended to be temporary and may only be available through the Service for a limited period of time.

We reserve the right to modify, update, suspend, discontinue, or limit the Service, in whole or in part, at any time.

2Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

  1. you are at least 18 years old;
  2. you have the legal capacity to enter into these Terms;
  3. you are not prohibited from using the Service under applicable law; and
  4. your use of the Service will comply with these Terms and all applicable laws and regulations.

If you access or use the Service on behalf of an organization or an entity: (1) you represent and warrant that you are authorized to agree to these Terms on their behalf and to bind them to these Terms; (2) all references to "you" and "your" in these Terms mean both you and that organization or entity; and (3) you and that organization or entity are each responsible for any access to or use of the Service and for any breach of these Terms.

We may refuse access to the Service or remove User Content if we reasonably believe that you do not meet these requirements or that your use of the Service creates legal, safety, or security risk.

3Account

To access the Service, you may be required to sign in using a supported third-party login provider, such as Apple or Google.

You are responsible for maintaining control over your login credentials and linked authentication method, for ensuring that the information associated with your account is true, accurate, and current, and for all activity that occurs through your account.

You may not create an account using false or misleading information, access another person's account without authorization, or sell, transfer, rent, or license your account to another person.

We may suspend, restrict, or terminate access to the Service if we reasonably believe that an account has been used in violation of these Terms or in a manner that may harm the Service, its users, or third parties.

4Prohibited Conduct

You may not, and may not permit any other person to, use the Service to:

  1. use bots, scripts, scraping, or other automated methods to access or use the Service;
  2. attempt to bypass technical, access, eligibility, security, moderation, or other protective measures or controls used by the Service;
  3. interfere with, disrupt, damage, overburden, or compromise the operation, integrity, or security of the Service;
  4. access, tamper with, or use non-public areas of the Service, our systems, or the systems of our service providers;
  5. probe, scan, or test the vulnerability of the Service or any related system or network, except as expressly authorized by us in writing;
  6. upload, transmit, or distribute any malware, virus, worm, Trojan horse, malicious code, or other harmful or disruptive material;
  7. harvest, collect, scrape, or otherwise obtain information about users, content, or the Service by any unauthorized means;
  8. impersonate any person or entity, misrepresent your identity, or falsely suggest any affiliation, endorsement, or sponsorship;
  9. use the Service for any unlawful, fraudulent, deceptive, abusive, or unauthorized purpose;
  10. copy, modify, distribute, sell, lease, sublicense, commercially exploit, reverse engineer, decompile, disassemble, or attempt to discover source code or underlying systems of the Service, except where such a restriction is prohibited by applicable law;
  11. remove or alter copyright, trademark, or other proprietary notices;
  12. use the Service to create or develop a competing product or service;
  13. use our name, branding, or materials in a way that suggests endorsement, affiliation, or sponsorship without our prior written permission;
  14. manipulate engagement, reporting, moderation, distribution, ranking, or visibility within the Service; or
  15. encourage, facilitate, or assist any other person to do any of the foregoing.

We may investigate suspected violations of this Section or the Terms and may suspend, restrict, or terminate access to the Service, remove User Content, or take any other action we consider appropriate in accordance with these Terms, applicable law, and our legitimate safety, security, and enforcement interests.

5User Content

You may upload, post, share, or otherwise make available content through the Service, including videos and other content or materials you submit through the Service ("User Content").

You retain ownership of your User Content, subject to the rights you grant to us under these Terms.

You, and not Orbee, are solely responsible for your User Content and for the consequences of making it available through the Service.

You represent and warrant that:

  1. you own or control all rights necessary to make available and use your User Content in connection with the Service;
  2. your User Content does not violate these Terms, our policies, or applicable law;
  3. your User Content does not infringe, misappropriate, or violate the rights of any third party, including privacy, publicity, copyright, trademark, or other proprietary rights; and
  4. you have obtained all rights, permissions, and consents required to record and make available your User Content through the Service, including from any persons appearing in it where required by law.
6License You Grant to Orbee

You grant Orbee a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable right and license to host, store, cache, reproduce, process, adapt, format, modify as technically necessary, edit, display, perform, transmit, distribute, and otherwise exploit your User Content for the following purposes:

  1. operating and providing the Service;
  2. displaying and distributing your User Content within the Service;
  3. generating thumbnails, previews, encodings, and related technical outputs;
  4. detecting, preventing, and investigating fraud, abuse, policy violations, and illegal activity;
  5. enforcing these Terms and our policies;
  6. complying with legal obligations; and
  7. promoting the Service and improving the safety, integrity, moderation, functionality, and performance of the Service.

This license ends when your User Content is deleted from our active systems, except to the extent retention is reasonably necessary for legal, safety, moderation, anti-abuse, audit, backup, security, compliance, or enforcement purposes.

7Prohibited Content

You may not, and may not permit, encourage, facilitate, or assist any other person to, use the Service to upload, post, share, or otherwise make available any User Content that:

  1. is sexually explicit, pornographic, exploitative, or includes prohibited nudity;
  2. sexualizes, exploits, endangers, depicts, or involves minors in any inappropriate, unlawful, or unsafe manner;
  3. contains graphic violence, gore, threats, or encouragement of violence;
  4. promotes self-harm, suicide, dangerous conduct, or illegal acts;
  5. is abusive, harassing, hateful, discriminatory, or intended to intimidate, humiliate, or bully another person;
  6. is spam, scam, deceptive, fraudulent, manipulative, or misleading;
  7. infringes intellectual property, privacy, publicity, or other rights of any person;
  8. includes another person without the rights, permissions, or legal basis necessary to record or make available that content;
  9. contains malware, code, exploits, or other harmful or disruptive material;
  10. violates any applicable law or regulation; or
  11. is otherwise objectionable, harmful, unsafe, or inconsistent with the purpose or integrity of the Service, as determined by us in our reasonable discretion.

We may refuse to publish, remove, restrict, disable access to, or otherwise take action with respect to any User Content that we believe violates these Terms, our policies, or applicable law.

8Moderation and Enforcement

If you believe that any User Content or conduct on the Service violates these Terms, applicable law, or user safety, you may report it to us through the in-app reporting tools or by contacting us at getorbee@gmail.com.

You should provide sufficient information to allow us to review the matter, including the User Content or account being reported, the reason for the report, and any other relevant context. We may request additional information where reasonably necessary.

We may review reports and other safety signals using automated systems, human review, or a combination of both. We may prioritize review based on safety, severity, legal risk, suspected repeat violations, or other factors we consider relevant.

In response to a report, or otherwise in connection with our safety and enforcement processes, we may, at any time and in our reasonable discretion:

  1. refuse to publish User Content;
  2. remove, restrict, age-gate, de-rank, or disable access to User Content;
  3. limit the visibility or availability of User Content;
  4. issue warnings;
  5. suspend, restrict, or terminate accounts;
  6. block access to some or all features of the Service;
  7. allow users to block other users or otherwise limit interactions through the Service; and
  8. preserve User Content, account information, reports, and related records where reasonably necessary for safety, moderation, legal compliance, dispute resolution, security, backup, or enforcement purposes.

We are not obligated to host, display, or continue displaying any particular User Content, and we do not guarantee that any report will result in any particular action, timing, or outcome.

You may not misuse the reporting tools or submit reports that are knowingly false, misleading, abusive, or intended to harass another person or manipulate moderation outcomes. We may take action in response to misuse of reporting or safety tools.

9Feedback

We welcome your comments, ideas, suggestions, recommendations, and other feedback regarding the Service ("Feedback"). If you provide Feedback, you agree that such Feedback is voluntary, non-confidential, and provided without any expectation of compensation, attribution, or other obligation from us.

You grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit that Feedback for any purpose, without restriction, notice, approval, or compensation to you.

To the extent permitted by applicable law, you waive, and agree not to assert, any moral rights or similar rights you may have in the Feedback.

10Intellectual Property

As between you and Orbee, Orbee and its licensors retain all right, title, and interest in and to the Service, including its software, design, interfaces, branding, logos, text, graphics, audiovisual elements, and all related intellectual property rights.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your personal, non-commercial use.

11Third-Party Services and Links

The Service may rely on third-party services and providers to operate, including authentication providers, hosting and cloud infrastructure providers, content delivery providers, moderation tools, and app distribution platforms. Certain aspects of the Service may be subject to third-party terms or policies.

The Service may contain links to third-party websites, applications, services, products, or content. We do not control, endorse, or assume responsibility for any third-party websites, applications, services, products, content, or practices.

Your access to and use of any third-party websites, applications, services, products, or content is at your own risk and may be subject to the applicable third-party terms, conditions, and policies. To the fullest extent permitted by law, Orbee disclaims all responsibility and liability for any third-party services, providers, links, content, products, resources, or practices, and for any loss, damage, liability, or claim arising out of or related to your access to, use of, or reliance on any of them.

12Privacy

Our Privacy Policy explains how we collect and otherwise process information relating to the Service. By using the Service, you acknowledge that we may process information as described in the Privacy Policy.

13Suspension and Termination

You may stop using the Service at any time.

We may suspend, restrict, or terminate your access to the Service, remove User Content, or disable your account at any time if:

  1. you violate these Terms or our policies;
  2. we reasonably believe you pose a safety, legal, compliance, or security risk;
  3. we receive a valid legal request;
  4. your conduct could create liability or harm for users, third parties, or Orbee; or
  5. we decide to discontinue or materially change the Service.
14Account Deletion

You may delete your account through the in-app deletion functionality, if available, or you may request deletion of your account by contacting us at getorbee@gmail.com.

Deletion of your account may result in deletion of your User Content and loss of access to the Service. Some information may be retained for limited periods where reasonably necessary for legal, security, moderation, anti-fraud, backup, accounting, compliance, or enforcement purposes, as further described in our Privacy Policy.

15Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as appropriate, such as by updating the date above, posting notice in the Service, or using another reasonable method.

Your continued use of the Service after updated Terms become effective means that you accept the updated Terms.

16Disclaimers

The Service is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Orbee disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and quiet enjoyment.

We do not guarantee that:

  1. the Service will be uninterrupted, error-free, secure, or always available;
  2. any User Content will be accurate, complete, safe, lawful, or suitable; or
  3. any User Content will be displayed, distributed, ranked, recommended, or remain available through the Service in any particular manner or for any particular period of time.

We may determine whether, how, and for how long User Content is made available through the Service, and may remove, restrict, limit, de-rank, or make User Content unavailable at any time for moderation, safety, legal, technical, or operational reasons.

17Limitation of Liability

To the fullest extent permitted by applicable law, Orbee, its affiliates, and its and their respective licensors, service providers, contractors, officers, directors, employees, agents, representatives, successors, and assigns (collectively, the "Orbee Parties") will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, use, or business opportunities, arising out of or relating to the Service, any User Content, any third-party services or links, or these Terms, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if any Orbee Party has been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.

To the fullest extent permitted by law, the aggregate liability of the Orbee Parties for all claims arising out of or relating to the Service or these Terms will not exceed EUR 100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

18Indemnity

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Orbee Parties from and against any and all third-party claims, actions, proceedings, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees and legal expenses, arising out of or relating to:

  1. your User Content;
  2. your use of the Service;
  3. your violation of these Terms or applicable law; or
  4. your infringement or violation of any rights of another person or entity.

Orbee reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such matter.

You may not settle any matter subject to indemnification without our prior written consent unless the settlement fully and unconditionally releases the Orbee Parties from all liability and does not impose any admission, payment, restriction, or other obligation on any Orbee Party.

Your obligations under this Section are in addition to, and not limited by, any other rights or remedies available to the Orbee Parties under these Terms, at law, or in equity, and are not subject to any limitation of liability set out in these Terms.

19Governing Law and Disputes

These Terms and any dispute arising out of or relating to them or the Service will be governed by the laws of Poland, without regard to conflict of laws principles.

If you are not a consumer, the courts of Warsaw, Poland shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.

If you are a consumer, nothing in these Terms limits any mandatory rights or protections you may have under the laws of your country of residence. To the fullest extent permitted by applicable law, any disputes shall be brought before the courts of Warsaw, Poland, except where applicable law provides otherwise.

20Miscellaneous

These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, form the entire agreement between you and Orbee regarding the Service.

Section headings are for convenience only and do not affect interpretation.

You agree that we may provide notices and other communications to you electronically, including through the Service, by email, or by other electronic means, and that such communications satisfy any legal requirement that they be in writing.

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Any provisions of these Terms that by their nature should survive suspension, termination, or expiration of these Terms will survive, including those relating to intellectual property, feedback, disclaimers, limitation of liability, indemnity, governing law, disputes, and any accrued rights or obligations.
